What is a Romalpa clause?

A Romalpa clause is a title retention clause that separates the passing of title and the risk of loss, and provides that until payment is received, title remains with the seller. In other words, risk of loss and damage pass to the buyer upon delivery, but the title passes to the buyer upon payment in full.
